Welcome, and thank you for your interest in Consistency AI, LLC (“Consistency AI,” “we,” or “us”), makers of the Phase Pal software platform. These Terms of Service (“Terms”) govern your access to and use of Consistency AI’s software, platform, APIs, documentation, and related tools, including the website www.phasepal.com and any downloadable applications (collectively, the “Service”). By using the Service, you agree to these Terms.
PLEASE READ THE FOLLOWING TERMS CAREFULLY. By clicking “I Accept,” or by downloading, installing, or otherwise accessing or using the Service, you confirm that you have read and understood, and, as a condition to your use, you agree to be bound by, these Terms and Conditions, including Consistency AI’s Privacy Policy and, if you purchase through Steam, the Steam Subscriber Agreement and Valve Privacy Policy (together, the ‘Terms’). Your use of the Service, and Consistency AI’s provision of the Service to you, constitutes an agreement by Consistency AI and by you to be bound by these Terms.
1. Access and Use
1.1. Age Limit. You must be at least 13 years old. If you are under 18, you need the consent of a parent or legal guardian. Do not use the Service if any applicable laws prohibit you from doing so. We do not knowingly collect personal information from children under 13. If you believe we have inadvertently done so, contact us immediately for prompt deletion.
1.2. Account Creation. You may create an account on the website using an email address and password, by signing in with Google, or by authenticating through Steam. If you access the Steam application, you must sign in through Steam. You agree to supply accurate, complete, and non-misleading information and to keep it updated.
1.3. Credentials and Security. Keep your account credentials confidential; you are responsible for all activities that occur under your account. You may not share access or allow others to use your account. Notify us promptly of any suspected unauthorized use at hello@consistencyai.net.
1.4. Individual Use Only. Phase Pal is designed for individual users and does not support organizational or business accounts at this time. If you create an account or use the Services on behalf of another person, you must have the authority to accept these Terms on their behalf. You may not use the Service for competitive benchmarking, automated data-collection, or training of machine-learning models without our prior written consent.
1.5. Username Rights. We may reclaim usernames that violate rights or impersonate others.
1.6. Prohibited Conduct. You may not use the Service for illegal purposes, harass others, infringe intellectual-property rights, attempt to bypass security, introduce malware, scrape content, collect personal data without consent, impersonate any person or entity, sell or transfer access, or interfere with networks or servers. Circumvent any rate-limiting, CAPTCHA, or other access-control measure. Use the voice-cloning feature to create an identifiable synthetic voice of any third party without that party’s explicit, documented consent or as otherwise prohibited by Section 4.8.
2. Paid Features and Billing
2.1. Paid Features. Certain features, such as AI chat, are offered through subscription plans that automatically renew until canceled (“Subscription Service”). Subscriptions begin on the date of your initial purchase (“Subscription Billing Date”) and renew automatically for the same period. By subscribing, you authorize Consistency AI or its payment processor to charge your payment method each renewal period for all applicable fees and taxes. Pricing details are available on our Pricing Page. To avoid being charged for the next billing period, you must cancel your subscription at least 24 hours before the renewal date or by contacting hello@consistencyai.net. Subscribers receive an email reminder between 30 and 7 days before each renewal. Chat credits may also be purchased separately and are consumed on a pay-as-you-go basis; unused credits do not expire and do not renew automatically.
2.2. Cancellations and Refunds. Cancel anytime through your account or by emailing hello@consistencyai.net; cancellations take effect at the end of the current period. Unless required by law, fees are non-refundable. If you purchased through Steam, manage billing, refunds, and cancellations via Steam under Valve’s policy. EU residents retain 14-day withdrawal rights under the Consumer Rights Directive; however, you waive withdrawal once you access AI-chat during that period. Refund requests must be submitted through the same channel used for purchase.
2.3. Payments and Chargebacks. We use Stripe, Inc. and its affiliates (“Stripe”) to process payments by bank account, credit card, or debit card. Your use of Stripe is governed by the Stripe Terms and Stripe Privacy Policy (together, the “Stripe Agreements”), as updated by Stripe from time to time. You authorize Stripe to store your payment method and to charge (or pre-authorize) it to prevent service interruptions. You also authorize us and our processor to charge your payment method and to suspend or terminate paid features for delinquent or charge-backed accounts. Consistency AI is not responsible for any payment issues arising through Stripe.
2.4. Fee Currency. All fees are stated and charged in U.S. dollars and are non-refundable unless otherwise stated in these Terms or required by law.
3. License and Restrictions
3.1. License Grant. We grant you a personal, limited, revocable, non-transferable license to install one copy of the Windows application on a single device you own or control and to access the Service. All rights not expressly granted to you under these Terms remain the property of Consistency AI and its licensors.
3.2. License Restrictions. You may not reverse-engineer, attempt to circumvent security measures, or copy or modify the software in any unauthorized way, except to the extent expressly permitted by applicable law.
4. User Content
4.1. Ownership of User Content. You retain all rights in and to any content you upload, store, share, or distribute through the Service (“User Content”).
4.2. Responsibility for User Content. You are solely responsible for your User Content and you represent and warrant that you own or otherwise control all necessary rights to upload and share it.
4.3. License to Phase Pal. You grant Consistency AI a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt, cache, transmit, and display your User Content, solely to operate, improve, and promote the Service. This license ends when you delete the content from the Service, except for (i) reasonable backups, caches, and logs, and (ii) copies that other users have already used or reshared within the Service.
4.4. License to Other Users. If you mark User Content as public, you grant every other user a non-exclusive, royalty-free license to download and use that content within the Service and app, subject to any additional license terms you clearly attach to the content.
4.5. Prohibited Content. You may not upload content that:
(a) sexualizes or explicitly depicts minors or characters that appear to be minors; (b) promotes illegal activity, violence, or hate;(c) infringes intellectual-property rights or impersonates another person; or (d) Content that violates the EU Digital Services Act’s prohibition on ‘deep fake’ depictions without disclosure. (e) depicts or encourages: (i) incest, including sexual activity between immediate or close biological family members; (ii) child abuse, exploitation, or endangerment; (iii) rape, sexual violence, or domestic abuse; (iv) human death, brutal violence, or graphic injuries; (v) bestiality; or (f) otherwise violates our Community Guidelines. We may remove content or suspend accounts at our discretion, but we are not obligated to monitor all content.
4.6. 3D Model Content Rights. You must own or have full rights to any 3D models you upload. By uploading 3D models you warrant that you have all necessary rights and permissions, the content does not infringe third-party intellectual-property rights, and the content is not objectionable or harmful. Phase Pal disclaims all liability for misuse of 3D model content.
4.7. Voice Content Representations. You must not post Voice Content unless you are the owner or are fully authorized to grant all rights described in these Terms. You are solely responsible for your Voice Content and for complying with any license terms you attach to it. By providing Voice Content via the Service you affirm, represent, and warrant that: (a) you are the creator and owner of the Voice Content, or you have all required licenses, rights, consents, and permissions (including from any individuals whose voices are recorded) to authorize Phase Pal and its users to use the content as contemplated by the Service and these Terms;
(b) your Voice Content, and its posting or other use as contemplated here, does not and will not:
(i) infringe, violate, misappropriate, or otherwise breach any third-party right, including copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, voice rights, or any other intellectual-property, contract, or proprietary right;
(ii) slander, defame, libel, or invade the privacy, publicity, or other property rights of any person; or
(iii) cause Phase Pal to violate any law or regulation or require us to obtain any further licenses or pay any royalties, fees, compensation, or other amounts, or provide attribution to any third parties; and
(c) your Voice Content could not be deemed by a reasonable person to be objectionable, profane, indecent, harassing, threatening, embarrassing, hateful, or otherwise inappropriate, and it does not contain any unauthorized recordings or impersonations of individuals without their explicit consent.
4.8. Voice Cloning Service Specific Terms. By using our voice-cloning services you confirm that you have obtained all necessary rights, consents (including explicit written permission from individuals as required under laws such as GDPR and CCPA), and permissions for any voices used, and you alone are responsible for verifying them. The services are provided for lawful, ethical purposes only. You must not use outputs for illegal or harmful activities such as fraud, deepfakes, impersonation, defamation, or intellectual-property violations. We disclaim all liability for misuse, reserve the right to suspend access, and may report violations. Use of the voice-cloning services is governed by these Terms of Service and our Privacy Policy.
4.9. Monitoring and Enforcement. While we have no obligation to monitor User Content, we reserve the right to review, remove, or disable access to any content that violates these Terms or applicable laws at our discretion.
5. Liability and Disclaimers
5.1. Limitation of Liability. To the fullest extent permitted by law, Phase Pal and Consistency AI shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or in connection with (a) your use of or inability to use the Service, (b) any User Content uploaded, shared, or accessed through the Service, or (c) any actions taken in response to DMCA notices or other legal claims.
5.2. Reporting and Appeals. Report violations to hello@consistencyai.net. We aim to acknowledge reports within 48 hours and complete reviews within 7–14 days. You may appeal moderation decisions by emailing hello@consistencyai.net with context and any licenses or permissions.
5.3. Intellectual Property; DMCA. We comply with the Digital Millennium Copyright Act (DMCA). If we receive a valid DMCA takedown notice identifying infringing content, we will promptly remove or disable access to it and notify you. Repeated violations may result in account termination under our Repeat Infringer Policy.
5.4. DMCA Notices. Send DMCA notices to: Consistency AI LLC, Attn: Legal – DMCA, 1605 Lakecliff Hills Ln., Suite 100, Austin, TX 78732, Email: hello@consistencyai.net. Include all required elements: signature, identification of the copyrighted work, infringing URLs, contact information, and good-faith and accuracy statements under penalty of perjury.
5.5. Repeat Infringer Policy. We reserve the right to suspend or terminate accounts of users who repeatedly infringe intellectual-property rights, as determined by valid DMCA notices or other evidence of infringement.
6. Third-Party Services and Integrations
6.1. Third-Party Services and Integrations. The Service integrates third parties such as Steam (authentication and store), AI providers (OpenRouter, Groq, OpenAI, Google, Replicate), and payment processors (Stripe, Steam). Their terms and privacy policies apply; we are not responsible for their products, services, or actions. Use of AI models is subject to each provider’s own terms; we do not control or guarantee their behavior or data retention. For purchases made via Steam, Steam controls billing, refunds, and cancellation.
6.2. AI and Desktop Overlay Disclosures. AI responses are generated by third-party models for entertainment purposes only and must not be relied upon as facts or professional advice. The desktop overlay may interact with your system and other software. AI-generated outputs may include inaccurate, offensive, or fictional material and do not represent the views of Consistency AI or its partners. We strive for compatibility but are not responsible for conflicts or performance impacts.
6.3. Disclaimers. The Service, including AI content and the desktop overlay, is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or the accuracy, reliability, or availability of AI outputs.
7. Termination and Changes
7.1. Termination. You may stop using the Service at any time. We may suspend or terminate your access for any reason, with or without notice. We may provide notice of termination to your registered email address when feasible.
7.2. Changes to Terms. We may update these Terms from time to time. Material changes will apply prospectively after we post notice or otherwise make the updated Terms available to you. Continued use of the Service after any such update constitutes acceptance of the revised Terms.
7.3. Survival. Sections that by their nature should survive termination—including, without limitation, User Content licenses (as qualified above), intellectual-property provisions, disclaimers, limitations of liability, and governing law—shall survive any suspension or termination of your access.
8. Governing Law and Venue
8.1. Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where prohibited by applicable law.
8.2. Venue. The state and federal courts located in Dallas County, Texas shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where such exclusive jurisdiction is prohibited by law.
9. Electronic Communications and Contact
9.1. Electronic Communications. You consent to receive all communications from us electronically, including notices, agreements, disclosures, or other information. We may provide support at our sole discretion in accordance with posted policies.

10. Miscellaneous
10.1 Severability. If any provision of these Terms is held unlawful, void, or unenforceable, the parties will negotiate in good faith a valid substitute clause that most closely reflects the original intent; all remaining provisions will remain in full force.
10.2 Assignment. You may not assign, delegate, or transfer your account or any rights or obligations under these Terms without our prior written consent. Any merger, acquisition, or other change of control involving you constitutes an assignment subject to this section.
10.3 Entire Agreement. These Terms, together with the Privacy Policy, any Platform-Specific Addenda, and any Order Forms you enter with Consistency AI, constitute the entire agreement between you and Consistency AI and supersede all prior or contemporaneous oral or written understandings regarding the Service.
10.4. International Use. This Game and its online features are operated from the United States and are intended for users located within the United States. We make no representation that the Game or any related services are appropriate or available for use in other locations. Accessing the Game from territories where its content or operation is illegal is prohibited. If you access the Game from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
